By placing an order with Buffalo Online Limited, you confirm that you are in agreement with and bound by the terms and conditions below. Buffalo Online reserves the right to amend these terms and conditions at any time. We advise you periodically check these terms for alterations. All prices quoted are exclusive of VAT.

Websites, website leasing and mobile websites:

Domain names:


• In the instance where Buffalo Online registers a new domain, the domain name will be agreed at the point of sale and once registered will be under the ownership and control of Buffalo Online unless the customer requests a change of ownership from Buffalo Online which is subsequently agreed by Buffalo Online..

• In the instance where the customer has ownership of a pre-existing domain that is to be utilised, although Buffalo Online may require transfer of registrar and administrative control, the customer shall retain full ownership of the domain at all times and no charges shall be applicable for the re-transfer of said domain should the client wish to do so.

• There is a fee of £199+VAT to transfer a domain (that has been purchased by Buffalo Online) to a client – this can be done at anytime.


• All domain names under the control of Buffalo Online are subject to an annual renewal fee of £27.50+VAT, unless otherwise specified at point of sale. 

• In the instance whereby Buffalo Online is pointing a new website to an already registered domain, Buffalo Online may require administrative control over the domain however the domain ownership will remain with the customer.

• Change of domain names and or the registration of additional domain names will incur additional fees. 

• Buffalo Online excludes liability for any loss of profit caused to the customer by the expiration of the domain name as a result of a technical fault or any other fault caused by the hosting company or any third party.


Delivery:


• Website accounts are subject to a monthly fee covering hosting, maintenance, continued service and all applicable components of the chosen package.

• Buffalo Online may require you to submit your own text and images for inclusion on your new website. All text should be divided into sections relevant to your page names and submitted by you in electronic format via Wetransfer. All text and images submitted must be free of copyright and Buffalo Online accepts no responsibility for any infringement of copyright law arising from any text or images used on your site. Buffalo Online are able to offer professional copywriting services for any given subject matter at a nominal fee of £49.99 per 500 words, or £12.99 per 100 words.


• Expected completion timeframe will only become valid once all instruction and content required to build the website has been received by Buffalo Online.

• Buffalo Online reserves the right to refuse to handle in any way, material which may be deemed offensive, illegal or controversial.

• In the instance that only partial instruction and content has been acquired, Buffalo Online will complete and launch the website and will consider this as fulfilment of service. Any further additions to the website, provided they fall within the parameters of the chosen package, can be added at a later stage free of charge.

• Website drafts will be created based on the design brief and information provided by the customer. If the design brief changes significantly after the first draft has been created a support charge for any additional work may be applied.

• We may include plugins on your website to improve the overall user experience on your site. These include but are not limited to contact forms, image slideshows, videos and maps. As these are third party apps hosted by another supplier we cannot accept responsibility for any loss of service or malfunction that may occur. Each third party reserves the right to alter or remove their service and or charge fees if certain usage limits are reached. Customers will be notified prior to such case and would be able to decide whether or not to continue with the service or to find an alternative provider.

• All websites are limited to a total of 500MB of data storage. Should you use more than 500MB of storage we will request for you to either pay an additional hosting fee or Buffalo Online will delete enough files to bring your total storage back down below 500MB.

• Upon completion of the website the customer will be notified via email. The customer will be graced with a seven day notice period whereby they may request any design or structural amendments to their website providing the customer’s requests fall within the parameters of the chosen package. In the instance that the customer does not respond with any design or structural amends within the seven day grace period, the web design project will be considered as completed by Buffalo Online.

On-going Service:


• Hosting, technical maintenance, software updates and all general upkeep services shall be provided by Buffalo Online as standard and be included as part of the agreed monthly fee

• While Buffalo Online will take extensive measures to ensure that the customer does not experience any disruption of service, we cannot accept liability for disruption of service caused by factors that lie outside of our control.

• Basic website amends such as changes to text, images and contact information shall be included as part of each package as stated in the package description. These inclusive amendments are subject to fair usage. If for whatever reason the customer’s use of this clause is excessive then Buffalo Online has the right to evaluate the clients spend and amend the amount on their next billing cycle. Requests that fall outside of what is considered to be a basic amend, such as new pages, re-branding or additional functionality will be treated as a bespoke auxiliary service and will be quoted and billed as such. 

• In the event that a website fault occurs as the result of amendments made by the customer, a request may be made to Buffalo Online Ltd to rectify the fault and will be quoted and billed based upon our standard agency fees.


Duration of contract / Account cancellation:


• Website accounts are agreed on the basis of a 12 month rolling commitment unless otherwise specified at point of sale.

• All cancellation requests are to be funneled through the customers ‘client area’ located on our website. Details on how to access this area will be emailed to you at the point of sale.

• Account cancellation will be subject to a 30 day notice period and any balances due within this period will remain payable in full.

• Cancellations will not be processed where there is an outstanding balance on an account.

• Account cancellation will result in the complete termination of the website and any affiliated services as provided by Buffalo Online unless the customer has chosen to implement the website buy-out option as stated below.
Website buy-out option: (Please note that this option is not available to mobile websites). In the instance where the customer wishes to discontinue services with Buffalo Online and take over full ownership of the website, Buffalo Online are able to transfer both the domain(s) and website files to the customer. The fee for this service shall depend upon the length of time the customer has been in contract with Buffalo Online as stated below.

 

• 0-6 months – Transfer fee £599+vat
• 6-12 months – Transfer fee £499+vat
• 12-24 months – Transfer fee £299+vat
• Beyond 24 months – Transfer fee £199+vat


Search Engine optimisation (SEO) & online marketing:


• Buffalo Online commits to using only ethical and recognised methods of Search Engine Optimisation. Buffalo Online does not accept liability for any issues that arise from unethical techniques applied by other parties unknown to Buffalo Online.

• Some elements of Buffalo Online marketing packages may require the use of third party resources. Unless otherwise specified, these resources shall be included within the set monthly tariff. Buffalo Online are not responsible for any changes to third party terms or operational procedures.

• In the instance where the targeting of specific search terms is provided, once agreed these search terms can be changed each quarter on request.

• While it is accepted that the methodology applied by Buffalo Online is an effective one, Buffalo Online does not hold any control over search engine rankings and therefore cannot guarantee any specific results. Furthermore Buffalo Online cannot dictate or predict changes in search engine practices that may cause loss of positioning.

• In the event that SEO services are to be provided for a website that is under the control of the customer or a third party, Buffalo Online may request appropriate access to the website in order to apply any on-site SEO that is required. If access cannot be obtained, Buffalo Online shall implement only off-site SEO techniques.

• Customer verification may be required for some elements of Buffalo Online marketing packages. In any such instance Buffalo Online will notify and remind the customer to take the appropriate action.


Duration of contract / Account cancellation:


• All marketing services shall operate on the basis of a rolling monthly contract.

• Requests of account cancellation are to be sent in writing to email address info@buffaloonline.co.uk and can only be accepted where there are no outstanding balances due on the account and the customer is outside of the minimum term.

• Account cancellation will be subject to a 30 day notice period and any balances due within this period will remain payable in full.

• Cancellations will not be processed where there is an outstanding balance on an account.

• For the avoidance of doubt, the 30 day notice period refers to 30 days prior to any given renewal date. In any instance where a cancellation request is received less than 30 days before any given renewal date, the full renewal balance will remain due.

• Account cancellation will result in the complete termination of all continuing SEO services however all SEO techniques applied throughout the customers term with Buffalo Online will remain in place.


Website Hosting:


• Website hosting services provided by Buffalo Online shall be subject to an annual fee agreed prior to the take-over of hosting services with the initial payment due upon transfer.

• An additional annual fee shall be applied for the renewal of each domain name hosted by Buffalo Online dependent upon the type of domain in question (.co.uk / .com / .org etc.)


Duration of contract / Account cancellation:


• Website hosting accounts shall renew every 12 months for the period of 12 months unless otherwise agreed.

• Requests of account cancellation are to be sent in writing to email address info@buffaloonline.co.uk and can only be accepted where there are no outstanding balances due on the account.

• Account cancellation will be subject to a 30 day notice period and any balances due within this period will remain payable in full.

• Cancellations will not be processed where there is an outstanding balance on an account.

• For the avoidance of doubt, the 30 day notice period refers to 30 days prior to any given renewal date. In any instance where a cancellation request is received less than 30 days before any given renewal date, the full renewal balance will remain due.

• Account cancellation will result in the complete and immediate termination of hosting services.


Auxiliary Products:


• Any services requested that fall outside of our standard product descriptions shall be deemed as an auxiliary product.

• All requests for auxiliary products shall be reviewed by a senior account manager and a quote shall be provided to the customer for confirmation.

• Upon agreement of the quote, the customer shall be given an expected completion date by their account manager and billed for the agreed amount.


Charges and payments:


The Charges for the Services shall be the amount set out at the point of sale. In addition to the Charges the Customer shall pay Buffalo Online Value Added Tax and/or any other applicable sales taxes at their respective rates.

All payments to Buffalo Online for provision of services will be processed via Pre Authorised Direct Debit. Alternative payment methods are accepted at the sole discretion of Buffalo Online and may incur additional processing or administrative fees.

Without prejudice to any other right or remedy that Buffalo Online may have, if the Customer fails to pay Buffalo Online on the due date Buffalo Online may:

(a) charge interest on such sum from the due date for payment at the annual rate of 4% above the base lending rate from time to time of national Westminster Bank, accruing on a daily basis and being compounded quarterly until payment is made, whether before or after any judgment. Buffalo Online may claim interest under the Late Payment of Commercial Debts (Interest) Act 1998; and

(b) Suspend all Services until payment has been made in full.

(c) If the customer’s account remains in debt for two consecutive months then a £50 late payment fee will be added to the customer’s outstanding balance.


Refund policy:


In the event that Buffalo Online hasn’t commenced the customer’s order the customer may be entitled to a refund, in part or in full, of the first payment. In the event that Buffalo Online has already commenced work, no refund will be due. In either event refund requests for the first payment will only be considered where the request has been made within seven days of the date of entering into this contract. All refund requests should be emailed to info@buffaloonline.co.uk.


Governing Law:


This contract will be governed exclusively by the laws of the United Kingdom.
